SoftwareOne takes note of the dissolution of the agreement between the shareholder group and Bain Capital to pursue a public takeover offer

SoftwareOne Holding AG, a leading global software and cloud solutions provider, takes note of the dissolution of the agreement among Bain Capital and the shareholders von Stockar, Curti and Gilli entered into last year with the aim of pursuing an offer for the acquisition of SoftwareOne.

SoftwareOne welcomes the transparency provided by the shareholder group and Bain Capital and that Bain declared that there exist no prospects for a transaction. Furthermore, they declared that Bain Capital has no entitlement whatsoever to the shares or voting rights of the shareholder group.

SoftwareOne appreciates that the shareholders will be able to make their decisions at the upcoming Annual General Meeting on 18 April 2024 taking into account these clarifying circumstances and the fact that, as expected, a purchase offer for SoftwareOne in the near future is unlikely.
